Effective November 2, 2026 — new purchases only Version: tos-2026-11-02-v1 Effective: November 2, 2026. This version applies only to new purchases that expressly accept it and does not replace terms already accepted by a customer.
1. The terms for your service
Three Reasons INC, operating as Leadder ("Leadder", "we" or "us"), provides the service in your accepted order to the client business identified in that order ("you"). Our address is 1320 Potter Drive, Ottawa, Ontario K4M 1C6, Canada.
These Terms apply when your order or checkout expressly incorporates this identified version. The matching Purchase Policy is pp-2026-11-02-v1. The applicable product section and your accepted order determine the services, charges, renewal, cancellation and guarantees. A provision expressly limited to one product does not apply to another product.
A public webpage edit does not by itself amend a previously accepted purchase. Mandatory legal rights remain. The Privacy Policy explains personal-information handling; any required completed processor, regional and transfer terms form a separate part of the applicable contractual package.
1.1 Capacity and account security
You must be at least 18 and legally capable of accepting these terms, and authorized to act for the client business. Keep account credentials confidential, give access only to authorized people and promptly tell us about suspected unauthorized use. Use delegated access where available instead of sharing passwords. You are responsible for the instructions and activity you authorize through your account.
1.2 Acceptable use
Do not use the services for unlawful activity, spam or unlawful marketing; upload malware; seek unauthorized access; scrape without permission; violate another person's privacy or rights; or interfere with the security or operation of the services. These restrictions do not create a new payment-failure rule or override a product's agreed cure, cancellation or refund terms.
1.3 Platform rights and your information
Leadder and its licensors retain their software, platform materials, branding and other intellectual property, subject to your rights in your own content and any rights expressly granted in your purchase. Use those materials only as permitted for the purchased service or with the relevant owner's permission. Visibility Engine's website-code delivery and use/adaptation rights remain as stated in section 3.3.
You retain ownership of the data and content you supply. You give us the limited permission needed to process and store them to provide and operate the agreed service. Any additional use must have a valid basis under applicable law and your accepted terms and privacy disclosures. This permission does not expand Visibility Engine's agreed-purpose restrictions or authorize independent AI model training on its client data. Do not provide content or instructions you lack the right to use.
1.4 Third-party services and privacy
Services may depend on external platforms and contain third-party links. Those providers control their systems and policies. Third-party availability is not guaranteed, but our own agreed work, express guarantees and other contractual responsibilities remain. The Privacy Policy explains our handling of personal information; it does not replace required data-processing or transfer terms or authorize a use prohibited by your accepted product terms.
2. LeadQuote
The LeadQuote section of the accepted Purchase Policy contains the LeadQuote service and purchase terms. Its price, founding-rate eligibility, 48-hour setup commitment, first-payment guarantee clock, enquiry and traffic tests, plan-specific refund amounts, cancellation, billing notices and payment-recovery terms apply only to LeadQuote.
LeadQuote uses affirmative checkout acceptance; it does not require a separate document signature. For support, cancellation or a refund request, email kd@leadder.io.
The Visibility Engine terms below do not apply to LeadQuote. In particular, they do not add a setup fee, usage charge, launch-call guarantee start, human follow-up condition, annual cancellation deduction, liability cap, governing-law clause, suspension rule or data-handling permission to a LeadQuote purchase.
3. Visibility Engine service terms
The following provisions apply only to a Visibility Engine purchase. They supplement the Visibility Engine section of the accepted Purchase Policy and the client's order form.
3.1 Our work and your cooperation
We use reasonable care, implement the agreed services, correct issues and manage account access responsibly. You provide accurate business information, lawful data, required access and timely approvals. The Purchase Policy sets the launch deadline, blocker treatment, cure period and refund for undelivered services and unearned setup work.
3.2 AI, review management and messaging
By accepting the Visibility Engine order and these terms, you expressly authorize us to manage your Google Business Profile and publish routine automatic AI review replies. We escalate legal threats, sensitive information, serious allegations and uncertain facts to a person. We correct or remove inappropriate replies and disclose that the web assistant uses AI.
You supply lawful contact lists and evidence of the required consent. We operate unsubscribe handling and suppression. Neither party may request or publish fabricated or incentivized reviews or selectively solicit only positive reviewers. The human response and follow-up duties used for ROI eligibility remain separate from automated service messages, as explained in the Purchase Policy.
3.3 Website code, accounts and handover
You retain your business content, customer data, domains and Google Business Profile ownership. On request, we provide your website code with rights to use and adapt the delivered website, and arrange an orderly data handover.
Leadder's reusable tools and automations remain separate, as do third-party software and licensed assets, hosting, messaging and AI services requiring ongoing subscriptions, and credentials or infrastructure that cannot be transferred. Delivery of website code does not transfer those separate services or third-party rights.
We relinquish GBP management within seven business days of notice. We do not withhold GBP ownership because of a payment dispute.
3.4 Breach, suspension and platform limits
For an ordinary material breach or nonpayment, give written notice and allow 10 business days to cure before suspension or termination. Urgent unlawful activity or security risks permit immediate proportionate suspension.
Google, telecommunications providers and other third parties control their platforms. We do not promise rankings, review counts or uninterrupted third-party access. These limitations do not remove our agreed service duties or the express Alignment and ROI Guarantees.
3.5 Privacy and confidentiality
Both parties protect confidential information and personal data, restrict access, and use it only for the agreed purposes. Applicable completed privacy, regional and transfer attachments govern their subject matter and must be supplied before processing. Client data is not authorized for independent AI model training.
3.6 Liability
Neither party owes indirect or consequential losses, subject to mandatory law. Each party's aggregate ordinary liability is capped at three calendar months' subscription fees, calculated as follows:
- Annual subscription: the annual subscription fee divided by four, currently $598 ($2,392 ÷ 4).
- Four-week subscription: the 28-day subscription fee divided by 28, multiplied by the number of calendar days in the relevant three calendar months.
Use the three calendar months before the event giving rise to liability, or the first three calendar months of the subscription if the event occurs earlier. Annual fees are allocated across the service term; the cap does not become zero simply because the annual payment occurred more than three months earlier.
Guarantee and cancellation refunds owed, ordinary payment debts, fraud, wilful misconduct and liability that cannot legally be excluded are outside the cap. Mandatory transfer terms prevail. A qualifying guarantee refund is not reduced by this cap or by ordinary annual cancellation deductions.
3.7 Acceptance, changes, notices and law
Your authorized signature or affirmative electronic acceptance binds your business and Leadder to the identified order and incorporated terms. We provide the accepted copy. Complete the required identity, contact, plan and exception fields and required attachments before payment. Calculated ROI figures and baseline inputs are not completion requirements and do not delay signing, payment or launch.
Material changes require written agreement, except notified renewal prices permitted by the Purchase Policy. Notices are emailed to the addresses in the order. Business days exclude weekends and Ontario public holidays.
Ontario law and Ottawa courts apply, subject to mandatory local rights. If documents conflict, priority is: mandatory transfer terms; applicable completed privacy or regional terms; expressly agreed signed exceptions; the specific purchase details in the accepted order; the Visibility Engine section of the accepted Purchase Policy; then these Terms. A short summary does not silently remove a stated guarantee condition or remedy; any exception must be expressly agreed.
4. Other packages
Another package is governed by its accepted order and the product terms that the order expressly identifies. These Terms do not apply the LeadQuote or Visibility Engine product provisions to another package. Any service commitments, special permissions, cancellation treatment, guarantee or liability allocation must be identified in that package's accepted terms.
5. Version record
This version is tos-2026-11-02-v1, effective November 2, 2026 for new purchases only. Its matching Purchase Policy is pp-2026-11-02-v1.
The versions displayed and affirmatively accepted for an order are retained with that order. Later versions are separate records and do not overwrite that acceptance. Your purchase confirmation provides the accepted terms or a durable link to their preserved version. Product-specific change rules and mandatory law govern any later change.
